6. PARTICIPATION CRITERIA

6.1 This "UFC Ultimate Gym Upgrade" contest, hereinafter the "CONTEST," will be run by "UFC Brasil," hereinafter the "Promoting Company," during the period from July 30, 2026 to August 26, 2026. It is open exclusively to non-profit philanthropic institutes and organizations (NGOs) whose primary activity is the promotion and practice of martial arts ("Institutes"), headquartered in the national territory (Brazil) and meeting the conditions set out in these Rules.


6.1.1 The purpose of the CONTEST is to support underserved institutions in need of training equipment for the development of their projects, helping to expand opportunities and strengthen the Brazilian martial arts community, as well as to encourage and promote initiatives directed at socially vulnerable communities.


6.2 The contest will be held in four (4) stages/phases, per the schedule below:

6.3 Only Institutes headquartered in the national territory may take part in the CONTEST. Institutes must have at least one (1) year of documented operation and maintain an active class schedule. They must also have a fixed physical space of at least 30 m² for holding classes, hold an active CNPJ in good standing with the competent authorities, have received no government funding in the last twelve (12) months, and not be part of gym chains, franchises, or corporate groups in the sector.


6.4 To take part in the CONTEST, the Institute's legal representative must: (i) visit the website https://ufc.com.br/concurso between 10:00 a.m. on July 30, 2026 and 11:59 p.m. on August 26, 2026 (official Brasília time); (ii) register by providing the following details: (a) Institute name; (b) CNPJ; (c) full address; (d) name of the person responsible; (e) email; (f) phone; (g) website (optional); and (h) social media (optional); (iii) answer two questions about the Institute — (1) "Tell us about the spirit of your community and your passion for martial arts. Could you describe or explain how the idea of opening a martial arts Institute/Project became a reality?" and (2) "Tell us about your Institute. Why is it important to you, to your family, and to your community?"; and (iv) attach three (3) photos and one (1) video, namely: (i) 1 photo of a class in progress; (ii) 1 photo of equipment, mats, or the training area; (iii) 1 photo of the front of the Institute; and 1 general video introducing the Institute.


6.5 Stories submitted must comply with the guidelines in these Rules and will undergo a preliminary review based on the participation criteria and their fit with the CONTEST's objectives.


6.6 Only one (1) Story may be submitted per Institute for the entire duration of the CONTEST; this limit is enforced on the basis of the Institute's CNPJ.


6.7 All entries are subject to verification. The Promoting Company may request supporting evidence of the information about the Institute and of the truthfulness of the Story.


6.8 Stories and entries that do not fit the theme proposed by the CONTEST, as set out in item 6.2, or that violate the provisions of items 6.2.6 and 6.2.7, will be disqualified, as will entries submitted after the deadline or that are incomplete, illegible, or corrupted. Stories that copy other Stories already submitted or that contain content plagiarized from third parties will also be disqualified.


6.9 Stories and the photos/videos submitted must not contain content that: (a) is sexually explicit or suggestive, violent, or disparaging of any ethnic, racial, gender, religious, sexual-orientation, professional, or age group, or that is profane or pornographic, contains or references nudity or any materially dangerous activity; (b) promotes alcohol, drugs, tobacco, firearms/bladed weapons (or the use of any of the foregoing), any activities that may appear unsafe or dangerous, or any specific political or religious agenda or message; (c) is obscene or offensive, or endorses any form of hatred or any hate group; (d) contains or references UFC trademarks, logos, or visual identity, or those belonging to third parties, or that advertises or promotes any brand or product of any kind, without prior authorization from the owner of such marks or products; (e) contains copyrighted material belonging to third parties without proper authorization; (f) contains material including names, email addresses, home addresses, images, or other identifying information of any person, living or deceased, without authorization; or (g) is false or misleading.


6.10 By submitting a Story, the Institute warrants and represents that: (a) it does not infringe copyrights, trademarks, privacy rights, or other intellectual property or other rights of any person or entity; (b) the individuals depicted in the Story have authorized, in writing, the use of their name, image, and other personal data depicted in the Story for the Institution's participation in the CONTEST, as well as the other uses set out in these Rules; (c) it holds all rights and authorizations necessary for the Story to be published through physical or digital media, including web and social media posts, without infringing third-party rights; (d) the Story is appropriate for the CONTEST and for all ages, is consistent with the image of the Promoting Company and of the UFC, and is suitable for publication. Without prejudice to the foregoing, Stories may not be parodies or disparaging in nature.


6.11 From August 28, 2026 through September 20, 2026, the Stories of Institutes approved under item 6.2 of these Rules will be put to a public vote at https://ufc.com.br/concurso to determine the three (3) finalists. The Stories with the highest number of votes will be selected.


6.12 The selected Institutes' Stories will undergo a final check for truthfulness and compliance with the requirements of these Rules, in line with the contest prerequisites, through direct contact from the Promoting Company by video call, to confirm the three (3) finalists. If any Institute is disqualified for non-compliance with these Rules, the next Institute with the most votes will be called. This process will repeat until three (3) finalists remain.


6.13 The finalist Institutes will receive a visit from the UFC's ambassador in Brazil, Rodrigo Minotauro, on a date to be scheduled (between 09/29/2026 and 10/29/2026), for the recording of audiovisual content. If the Institute is not available for filming during that window, it may be disqualified from the CONTEST. The videos recorded by the Promoting Company telling the Institutes' Stories will be put to a public vote between 10:00 a.m. on October 30, 2026 and 11:59 p.m. on November 20, 2026, to determine the one (1) winning Institute. The Story with the highest number of votes will be selected as the winner.


6.14 Voting is open exclusively to residents of Brazil aged 15 or older on the date of voting, and is limited to one (1) vote per voter every 24 hours, enforced on the basis of the voter's email address.


6.15 Official Brasília/DF time applies to all periods described in these Rules.

9. METHOD OF DETERMINATION

9.1 All Institutes approved by the Promoting Company will be submitted to public judgment through a vote on their Stories at https://ufc.com.br/concurso until September 20, 2026. The Institutes with the most votes will undergo a final check through direct contact from the Promoting Company by video call, to determine the three (3) finalists, who will receive a visit from the UFC's ambassador in Brazil, Rodrigo Minotauro, on a date to be scheduled for the recording of a video at the Institute (between 09/29/2026 and 10/29/2026). That video will be put to a public vote on the website from 10:00 a.m. on October 30, 2026 until 11:59 p.m. on November 20, 2026 to determine the one (1) Institute awarded the prize in the CONTEST.


9.2 In the event of a tie in the voting, the finalist Institute that reached the highest vote total first will be deemed the winner. If a tie remains, the tied entries will be re-evaluated by the Promoting Company in order to determine the winner. Voting is limited to one (1) vote per participant/email every 24 hours and is subject to verification at any time. Only votes recorded by the website will be considered valid.


9.3 Any attempt to vote using multiple/different email addresses, identities, registrations, and logins, or any other method intended to circumvent the per-email vote limit, will result in those votes being voided, and the individual responsible for such votes may be banned from voting. No one may vote by proxy on behalf of another person.


9.4 The use of any automated system to vote or to subvert the voting process is prohibited and will result in disqualification and the voiding of all associated votes. Votes generated by script, macro, or other automated means, or by any other means intended to affect the integrity of the voting process, may be voided at the Promoting Company's sole discretion. Votes obtained through fraudulent or improper means — including, without limitation, offering prizes or other incentives to the public, paying for votes or offering vote exchanges, or using or authorizing third parties to run paid advertising — as determined by the Promoting Company at its sole discretion, may result in those votes being voided and in the disqualification of the respective Institute.


9.5 All decisions regarding the validity of votes and the eligibility of participating Institutes will be made by the Promoting Company on the basis of the objective criteria set out in these Rules, with stated reasons, and will be considered final for the operational purposes of the CONTEST, without prejudice to the participating Institute's right to submit any dispute to the competent authorities.

10. DISQUALIFICATION CRITERIA

10.1 The following Institutes will be automatically disqualified at the time of the Promoting Company's evaluation:


10.1.1 Those that have not complied with the criteria set out in these Rules.


10.1.2 Participants who attempt to defraud or circumvent the rules established herein and/or use mechanical, robotic, or fraudulent means to interfere with the outcome of the CONTEST.


10.2 Institutes whose legal representation includes employees of TKO, Alltroo, Inc. (the "Administrator"), the Ultimate Fighting Championship ("UFC") and its active fighters, as well as all respective employees, shareholders, affiliates, directors, agents, representatives, members, licensees, promoters, successors, and assigns thereof, and members of their immediate families (spouse and parents, children, siblings and their respective spouses, regardless of where they reside) or persons residing in the same household (whether related or not) (collectively, the "Exempt Parties"), are not eligible to take part in this CONTEST. Any participation by Institutes with legal representation by Exempt Parties will be voided.


10.3 The Promoting Company reserves the right to monitor, review, verify, and audit all votes at any time. Any votes deemed to have been generated by fraudulent, automated, or improper means — including, without limitation, the use of bots, scripts, vote exchanges, paid voting services, coordinated manipulation campaigns, or any other method intended to artificially influence the outcome — may be voided.


10.4 The Promoter further reserves the right to disqualify any Institute that, at the Promoting Company's sole discretion, engages in or benefits from any activity that compromises the integrity, impartiality, or proper conduct of the CONTEST, including the use of paid media, incentives, or third-party services to solicit or generate votes.


10.5 Participating Institutes may be automatically excluded from the CONTEST in the event of proven fraud, failure to meet the previously established requirements, and/or as a result of providing incorrect or erroneous information, in accordance with these Rules.


10.6 A winning Institute that is disqualified from the CONTEST will not be entitled to receive the prize, and the Promoting Company will determine a new winner to receive it.

11. HOW THE RESULT WILL BE ANNOUNCED

11.1 The Institute awarded the prize in this CONTEST will be announced at https://ufc.com.br/concurso within ten (10) days of the determination and will remain posted there for at least thirty (30) days.


11.2 The Promoting Company will notify the winning Institute of its placement and the prize within fifteen (15) days of the date of that announcement.


11.3 Contact with the winning Institute will be made by phone call and/or email, at which point the Promoting Company will explain the procedure for receiving the prize and will immediately provide a dedicated support channel.


11.4 The winning Institute hereby warrants that it is authorized, or will obtain authorization, to permit the Promoting Company to use — for a period of twelve (12) months from the date of the determination of the result of this CONTEST — the images, voice, performance, and names of the individuals depicted in the photos and videos shared with the Promoting Company, in advertising films broadcast in electronic media and on the internet, and in photos, posters, and advertisements in newspapers, magazines, or any other form of print or electronic media, to be distributed within the national territory, relating to publicizing the Institute's prize win, at no cost to the Promoting Company.


11.5 It is a condition of participating in the Contest that each participating Institute, on its own behalf and through its representatives, make itself available to take part, free of charge, in all stages and activities related to the CONTEST (including, without limitation, filming and participation in interviews, public appearances, and promotional and publicity activities).

12. DELIVERY OF PRIZES

12.1 Prizes will be delivered to the winning Institute on a date and time to be arranged with it, and the signature of its legal representative/attorney-in-fact on the prize delivery receipt is required. Take care when completing the form, as it indicates the location where the prize is to be delivered. This deadline may be extended in the event of delays arising from construction/renovation and/or from the product suppliers, which will not constitute any breach on the part of the Promoting Company.


12.2 The CONTEST prizes are awarded to the winning Institute and not to the individuals responsible for registering the Institute in the CONTEST.


12.3 Under applicable law, the prize may not be converted into cash or substituted for another, nor may it be transferred to any third party other than the winning Institute prior to its effective delivery and incorporation into the Institute's assets.


12.4 Delivery of the prize will be evidenced by the winning Institute's signature on the prize delivery receipt, which act concludes the Promoting Company's operational obligations relating to the execution of the CONTEST, subject to the legal warranties applicable to the products delivered.


12.5 The Promoting Company undertakes to provide proof of ownership of the prizes up to eight (8) days before the date of the determination, pursuant to art. 50, "d" of SEAE/ME Ordinance No. 7,638 of October 18, 2022.


12.6 The winning Institute's right to claim its prize is preserved for up to one hundred and eighty (180) days from the date of the respective determination. If the prize won is not claimed within that period, the winning Institute's right will lapse and the corresponding amount will be remitted by the Promoting Company to the National Treasury as federal revenue within the following forty-five (45) days, pursuant to art. 6 of Decree 70,951/72.


12.7 Notes on the prizes:


12.7.1 The items making up the prize will be defined by the Promoting Company according to the needs of the benefiting Institute, and may include, by way of example, mats, gloves, punching bags, gis, and other sports equipment or materials. The definition of the items, their quantities, specifications, models, and other characteristics is at the sole discretion of the Promoting Company, observing the total prize value set out in these Rules.


12.7.2 If a prize delivered has any defect or manufacturing flaw, the winning Institute must contact the manufacturer/supplier of the item directly, through the technical support channels and warranty terms accompanying the product, subject to art. 18 of the Consumer Protection Code (Law No. 8,078/90). The Promoting Company may support the winning Institute in dealing with the manufacturer during the warranty period, without prejudice to the rights legally guaranteed to consumers.


12.7.3 Responsibility for the quality, functioning, and warranty of the items making up the prize lies primarily with the respective producer/manufacturer and supplier, under applicable law and the warranty terms specific to each product.

13. GENERAL PROVISIONS

13.1 The CONTEST Rules will be made available at https://ufc.com.br/concurso.


13.2 By registering for this CONTEST, the participating Institute accepts all the terms of these Rules and acknowledges that any personal data of data subjects shared by the Institute with the Promoting Company will be processed under these Rules and the Promoting Company's Privacy Policy, available at https://www.ufc.com.br/privacy-policy.


13.3 The Institute declares that it has informed the subjects of any personal data shared with the Promoting Company of such sharing, and has given those subjects access to the terms of these Rules and of the Privacy Policy.


13.4 The processing of personal data shared with the Promoting Company will comply with the Privacy Policy, the General Personal Data Protection Law (Law No. 13,709/2018), and other data protection laws in force. The Promoting Company hereby undertakes to protect the personal data registered, maintaining absolute confidentiality over such information and guaranteeing that — except in cases provided for by law and for the faithful execution of this CONTEST — it will not be shared with or assigned to third parties on any basis.


13.5 Accordingly, personal data shared with the Promoting Company will be shared only with companies engaged by the Promoting Company, to the extent necessary to comply with these Rules and applicable law, such as: companies responsible for the database system, for the platform on which the CONTEST will be run, for accounting, for auditing, for the authorization and reporting of the contest to the SPA/MF, for promotional advisory services, and for prize delivery — all for the sole purpose of executing and operating this CONTEST. Personal data will also be shared with the SPA/MF, the government body responsible for authorizing, regulating, and overseeing commercial promotions, in compliance with the legislation governing the matter.


13.6 Following the procedures specified in these Rules implies unreserved acceptance of and agreement with all their terms and acknowledgment of the terms of the Privacy Policy. If a data subject does not agree with these Rules and/or the Privacy Policy, the Institute must refrain from sending that individual's personal data to the Promoting Company.


13.7 Pursuant to art. 70, item I, "b," of Law No. 11,196 of 11/21/05, the promoting institution will remit 20% withholding income tax on the value of the prize, by the third business day following the ten-day period in which the taxable events occur, via a DARF form paid through the banking network under code 0916.


13.8 Questions, omissions, or disputes arising from this CONTEST will first be settled by a committee made up of three (3) representatives of the Promoting Company. If no consensus is reached after the committee has acted, the matter must then be submitted to the SPA/MF. In the event of unjustified silence by the Promoting Company, or of an unsatisfactory decision it may adopt regarding any requests for clarification submitted to it, consumers participating in the CONTEST may submit their substantiated complaints to the local Procon and/or to the public bodies making up the National Consumer Protection System.


13.9 The central court of the judicial district of the participating Institute is hereby designated as the venue for resolving any matters relating to these CONTEST Rules.


13.10 This promotion is regulated by Decree No. 70,951/72 and MF Ordinance 7,638/22 and has obtained the Authorization Certificate referenced above, issued by the Ministry of Finance.

14. STATEMENT OF RESPONSIBILITY

14.1 The following may not be the subject of a promotion by way of prize distribution under these Rules: medicines; weapons and ammunition, explosives, fireworks or noisemakers, alcoholic beverages, tobacco and its derivatives; and other products that may be listed by the Minister of Finance. For the purposes of this decree, alcoholic beverages are drinkable beverages with an alcohol content above thirteen degrees Gay-Lussac.


14.2 Any consumer meeting the requirements set out in the rules of the authorized campaign may take part in the promotion.


14.3 Prizes may not be converted into cash.


14.4 Determination of results by electronic means is prohibited.


14.5 Prizes will be delivered within 30 days of the date of the determination/drawing, at no cost to the winners.


14.6 Where a prize won by drawing, in a contest, or awarded by prize voucher is not claimed within one hundred and eighty (180) days — counted, respectively, from the date of the drawing, the determination of the contest result, or the end of the promotion period — the holder's right will lapse and the corresponding amount will be remitted by the authorized company to the National Treasury as federal revenue within forty-five (45) days.


14.7 In promotions involving a minor who is awarded a prize, the minor must be represented by their legal guardian at the time of prize delivery — except for commercial promotions carried out by a broadcasting concessionaire or licensee, under art. 1-A, § 3, of Law 5,768 of December 20, 1971.


14.8 Winners' images may be published for up to one year after the determination of the commercial promotion.


14.9 Questions and disputes arising from participants' complaints will first be settled by the promoter; if they persist, they must be submitted to the SPA/MF.


14.10 Local consumer protection bodies will receive duly substantiated complaints.


14.11 Reporting of results must be carried out within a maximum of thirty days after the date on which the prizes lapse, failing which the prize distribution plan will be deemed breached.


14.12 The rules must be posted in a highly visible place and presented in a size and typeface that allow the consumer participating in the commercial promotion to read and understand them.


14.13 In addition to the terms above, the commercial promotion must comply with the conditions set out in Law No. 5,768 of 1971, Decree No. 70,951 of 1972, SEAE Ordinance No. 7,638 of 2022, MF Ordinance No. 67 of 2017, SECAP Ordinance No. 20,749 of 2000, and any supplementary acts. For the "Drawing" and "Drawing-Equivalent" formats, the company must attach the Participant List under the "Reporting" tab, containing an optional header (first line) with exactly: cpf, cnpj, nome, numero_serie, numero_sorteavel, data_hora_participacao, email, telefone, estrangeiro, after the end of each participation period and before the Lottery draw. The file must be in .csv or .zip format and each file may be up to 250 MB.


14.14 Breach of the clauses of the Statement of Responsibility and of these Rules constitutes non-compliance with the operating plan and gives rise to the penalties set out in article 13 of Law No. 5,768 of 1971.

15. REPORTING OF RESULTS

15.1 Reporting must be carried out by the date shown in the promotion's header in the SCPC system, in accordance with the rules established in SEAE Ordinance No. 7,638 of October 18, 2022. Expiry of the reporting deadline places the promoting companies in default. Failure to report by the due date will result in a fine of 100% (one hundred percent) of the total value of the goods promised as prizes, and a prohibition on carrying out free prize distribution operations for advertising purposes for a period of two (2) years from the reporting deadline, under art. 13 of Law No. 5,768 of December 20, 1971. The fine may be reviewed on administrative appeal, to be filed under art. 56 of Law No. 9,784 of January 29, 1999.
